Terms & Conditions
Shift Into Alignment, Inc.
Last updated: [September 29, 2026]
Welcome to Shift. These Terms & Conditions (“Terms”) govern the website at shiftinto.co and its related subdomains (the “Site”), Shift’s community and content offered through third-party platforms, including Circle, and the products and services offered by Shift Into Alignment, Inc., a Delaware corporation (“Shift,” “we,” “us,” or “our”). These offerings include Shift 1:1 coaching (“Shift 1:1”), the Shift Membership (“Membership”), The Shift 21-Day Transformation (the “Program”), and their associated content, practices, events, calls, and messaging (collectively, the “Services”).
By affirmatively accepting these Terms at checkout, enrollment, or another acceptance step, you agree to be bound by them. Please review these Terms before accepting them or purchasing Services. If you do not agree, do not complete the purchase or enrollment. Section 18 contains an arbitration agreement and a waiver of class proceedings, subject to the exceptions stated therein.

The Site is not a substitute for professional advice. The information, content, and services available on the Site are for educational, informational, and personal development purposes only. They are not a substitute for therapy, counseling, psychiatric care, medical care, nutritional advice, financial advice, legal advice, or any other licensed professional service. If you are in a mental health crisis, please call or text 988 (Suicide and Crisis Lifeline) or 911.
3. Eligibility
The Services are intended for individuals who are at least 18 years old. By accepting these Terms, you represent that you are at least 18 and have the legal capacity to enter into this agreement.
We do not knowingly collect personal information from individuals under 18. If you believe a minor has provided us with personal information, please contact us at hello@shiftinto.co and we will delete it.
4. The Shift 1:1 coaching relationship
Browsing the Site or booking a free consultation does not create a coaching relationship between you and Shift. The 1:1 coaching relationship begins only when:
You have paid for a Shift 1:1 product or package,
You have signed the separate Shift 1:1 Client Agreement, and
You have completed any required intake and consent materials, and your first session has been scheduled and confirmed.
The separate Shift 1:1 Client Agreement governs the coaching relationship and takes precedence over these Terms for matters specific to Shift 1:1, including scope, payment, refunds, cancellations, between-session communication, mental health protocols, and use of coaching materials. Acceptance of these Terms does not replace the requirement to sign that agreement. The separate agreement does not govern Membership or Program purchases merely because those purchases are made by a Shift 1:1 client.
A summary of what coaching is and is not: Shift 1:1 is body-based coaching for personal development. It is not therapy, psychotherapy, psychoanalysis, counseling, medical treatment, psychiatric care, addiction treatment, nutritional counseling, or any other licensed clinical service. Annie Ripp and Marissa Vivori are not licensed therapists, psychologists, psychiatrists, social workers, medical doctors, or dietitians.
5. Payments and purchases
Payments are processed through the payment services identified at checkout, which may include Stripe or payment services integrated with Circle. These Terms govern your purchase from Shift. Separately applicable payment-provider terms do not replace this agreement.
Pricing. Prices are stated in U.S. dollars. The applicable price and payment arrangement will be disclosed before you complete your purchase. Price changes for future purchases do not alter an existing purchase. Membership renewals and subscription price changes are subject to Section 5A.
Promotions and discounts. Promotional pricing, founding-member pricing, and other discounts are governed by the terms of the offer accepted when you enroll or purchase. Offers may not be combined unless expressly stated.
Taxes. Where required by law, applicable sales tax will be added to your purchase.
Shift 1:1 purchases. Refunds, cancellations, rescheduling, and treatment of unused sessions for Shift 1:1 are governed by the Shift 1:1 Client Agreement once signed. Before the Client Agreement is signed, a single session is nonrefundable once booked, and a package may be canceled before its first session for a refund of the purchase price less a ten percent (10%) administrative fee, except that if the Client Agreement is not signed within fourteen (14) days after purchase, the cancellation and refund rule in the last sentence of this paragraph controls. Shift 1:1 coaching will not begin until you sign the Client Agreement and complete any other required onboarding steps. If you do not sign the Client Agreement within fourteen (14) days after purchase, Shift will cancel the purchase and refund amounts paid for undelivered services; for a package, the refund will be reduced by the ten percent (10%) administrative fee applicable to cancellation before the first session.
Failed payments. If a payment fails, services will not be delivered until payment is successfully processed. Repeated failed payments may result in cancellation of the order.
5A. Shift Membership
Membership provides access to the community, content, and programming described in the offer you accept at enrollment, beginning on the access or launch date stated in that offer.
Subscriptions and renewal. Membership is offered on monthly or annual subscription plans. Before enrollment, Shift will disclose the recurring price, billing frequency, applicable promotional terms, and cancellation information. By affirmatively agreeing to the subscription arrangement presented to you, you authorize the recurring charges disclosed for your selected plan until you cancel.
Cancellation and refunds. You may cancel automatic renewal at any time. Shift will provide a simple way to cancel, including online cancellation for subscriptions purchased online. Cancellation stops subsequent renewals. Your Membership access continues through the end of your current paid billing period, subject to Section 17. Membership payments are nonrefundable, and no refunds or credits are provided for unused time, except as expressly stated in the offer accepted at enrollment, provided in Sections 16 or 17, or required by applicable law.
Promotional pricing and price changes. Promotional pricing is governed by the offer accepted at enrollment. Any permitted subscription price change must be consistent with that offer and will take effect only after Shift provides the notice and obtains any consent required by applicable law.
Founding Member pricing. If you enroll through a Founding Member offer, the promotional rate disclosed at enrollment applies only while your Membership remains continuously active and in good standing. If you cancel the Membership, allow it to lapse, or fail to cure a failed payment within any applicable cure period, you will not be entitled to reinstate the Membership at the former Founding Member rate unless Shift expressly agrees otherwise.
Confirmations and notices. Shift will provide confirmation of your subscription terms and cancellation information in a form you can retain, together with renewal, promotional-period, and other notices required by applicable law.
Membership changes. Shift may reasonably update content and reschedule programming, subject to the material benefits promised at enrollment. Section 16 governs material changes and discontinuation.
The Shift 1:1 refund provisions in Section 5 do not apply to Membership.
5B. The Shift 21-Day Transformation
The Program is a separately purchased, self-guided digital offering. The applicable purchase price will be disclosed at checkout.
Program content. A Program purchase includes the lessons, guided practices, workbooks, journal prompts, exercises, and other digital content described in the offer accepted at purchase. A purchaser has permanent access, without a stated expiration date, to the purchased Program content. Permanent access applies to the purchased Program content only. It does not create permanent access to Membership, the private community, live programming, personal support, future products, or future content unless the offer expressly states otherwise.
Support. A Program purchase includes direct messaging support from Shift beginning on the purchase date and continuing for three (3) months after the purchase date. Messaging support is not continuously monitored and is not an emergency-response or crisis service.
Community access. Any private-community access included with the Program is provided through the included free month of Membership unless the offer accepted at purchase expressly states otherwise. Community access does not continue merely because the purchaser retains permanent access to Program content.
Included Membership month. A Program purchaser receives a promotional code for one free month of Membership. To use that benefit, the purchaser must separately enroll in Membership through Circle using the promotional code. Before enrollment, Shift will disclose the selected Membership plan, recurring price, billing frequency, date paid billing begins, and cancellation method. After the free month, the selected Membership plan will automatically renew at the disclosed price and billing frequency unless canceled.
Shift will not charge recurring Membership fees unless the purchaser affirmatively enrolls in Membership and authorizes the disclosed recurring charges. Purchasing the Program alone does not authorize recurring Membership charges.
Course duration and outcomes. The 21-day description refers to the Program’s course format and recommended schedule. It does not limit the purchaser’s permanent access to purchased Program content and does not guarantee results within twenty-one days or any other period.
Refunds. Program purchases are nonrefundable except as provided in Sections 16 or 17 or required by applicable law.
Support and community participation are subject to the conduct and service-boundary provisions of these Terms. The Shift 1:1 refund provisions do not apply to the Program.
6. Bookings, cancellations, and rescheduling
If you book a free 15-minute consultation, paid session, or any other appointment through the Site:
You agree to provide accurate information when booking.
You agree to attend at the scheduled time, or to reschedule with appropriate notice.
The cancellation policy for paid sessions is set in the Client Agreement: cancellations with at least 24 hours' notice may be rescheduled at no cost; cancellations with less than 24 hours' notice forfeit the session.
Shift may cancel or reschedule a session with reasonable notice. If Shift cancels, it will offer rescheduling at no additional charge. Cancellation and refund rights for Shift 1:1 remain governed by the Client Agreement.
7. Intellectual property
The original content made available through the Services, including text, graphics, logos, images, audio, video, worksheets, and other materials, is owned by Shift or its licensors to the extent protected by applicable intellectual property law. Shift reserves all rights in its names, logos, trademarks, and service marks.
Subject to these Terms and the access rights included in your purchase, Shift grants you a limited, nonexclusive, nontransferable license to use the Services and their content for your personal, noncommercial purposes. You may download or print materials expressly made available for that purpose, including downloadable workbooks.
Except as expressly authorized by Shift or permitted by applicable law, you may not reproduce, redistribute, sell, publicly display, publicly perform, commercially exploit, or create derivative works from protected content. You may not share account credentials, provide unauthorized access to purchased content, or record live sessions or events without permission.
You may not use protected Shift content to develop, train, or improve artificial intelligence or machine-learning systems, or scrape or harvest content or data through automated means without authorization.
You may not use Shift’s names, logos, or trademarks in a manner that infringes its rights or falsely suggests affiliation or endorsement.
The separate Shift 1:1 Client Agreement controls the use of coaching materials to the extent provided in Section 4. Suspension or termination of access is subject to Section 17.
8. Testimonials and case studies
The Site may include testimonials, reviews, or case studies from Shift 1:1 clients, program participants, podcast listeners, or community members. These are individual experiences reported by those individuals and are not a guarantee of any particular outcome for any other user.
Results from coaching, programs, or any Shift offering vary by individual and depend on many factors including but not limited to your personal history, your level of engagement, your existing mental and physical health, and your life circumstances. We do not guarantee any specific outcome.
Before using your testimonial or other contribution in promotional materials, Shift will obtain your separate affirmative permission, including permission for any name, image, or other identifying information to be published and any additional consent required by applicable law.
9. Community participation and your content
Members may discuss their own health and personal experiences, subject to these rules. Members must respect the confidentiality of information others share, but Shift cannot guarantee that every member will comply.
You retain ownership of content you submit through the Services. You grant Shift a nonexclusive, royalty-free license to host, store, reproduce, technically format, transmit, and display that content solely as reasonably necessary to provide the Services and make the content available to the audience for which you submit it. Shift may use service providers for those purposes, subject to its applicable privacy obligations.
Shift must obtain your separate affirmative permission before using your community posts or other submissions in advertising, external testimonials, or other promotional materials. The license granted by this Section does not authorize unrelated commercial use or training artificial intelligence models.
The license ends when your content is deleted from the Services, except to the limited extent necessary for lawful preservation, routine backup retention, or continued display of copies you authorized others to share within the Services. These exceptions do not authorize new promotional use. Shift cannot retrieve copies independently retained by other users.
You agree not to:
Post unlawful, harassing, defamatory, abusive, or threatening content;
Impersonate another person or falsely claim professional credentials;
Share another person’s private information or community content without permission;
Record or distribute community discussions, calls, or member contributions without authorization;
Present diagnosis or treatment directions to other members as professional care;
Solicit other users for unauthorized commercial purposes;
Disrupt the Services or attempt unauthorized access.
Shift may moderate or remove content and take action under Section 17. Shift does not promise continuous monitoring or review of every contribution.
10. Third-party links and services
The Site may contain links to or integrations with third-party websites and services, including but not limited to
Stripe (payment processing)
Circle (community and content platform)
Calendly (scheduling)
Electronic-signature providers
Zoom (video sessions)
Substack (newsletter and essays)
Spotify, Apple Podcasts, and other podcast platforms
Instagram, TikTok, LinkedIn (social media)
Google Workspace, including Google Drive and Google Forms (forms, email, calendar, document storage, and form responses)
Squarespace (website hosting, forms, and quizzes)
Notion (internal records and service administration)
Third-party services may have their own terms and privacy policies, which we encourage you to review. Shift does not control independently operated third-party services or their content and availability. Their terms do not replace your agreement with Shift, and Shift remains responsible for its own contractual and legal obligations.
Shift may change its service providers and platforms, subject to the protections for existing purchases in Section 16 and its applicable privacy obligations.
11. Disclaimers
Educational purpose. Shift provides educational and self-development content intended to support emotional well-being, self-awareness, and personal growth. The Services, including programs, practices, audio, community activities, events, coaching, and messaging, are not medical care, mental health treatment, psychotherapy, or a substitute for licensed professional care. They are not intended to diagnose, treat, cure, or prevent a disease or medical or mental health condition.
Professional care. Participation in the Services does not, by itself, create a doctor-patient, therapist-client, or other treating-provider relationship. Do not replace, delay, or discontinue professional care, medication, or treatment because of information or experiences obtained through Shift. Consult an appropriately qualified provider about your individual health needs and treatment decisions.
Practices and participation. Breathwork, movement, visualization, emotional reflection, journaling, and other somatic practices may involve physical or emotional discomfort and may not be suitable for everyone. You are responsible for determining whether participation is appropriate for you. Seek qualified professional guidance before participating if you are pregnant, have a medical or mental health condition that may affect safe participation, or are uncertain whether a practice is appropriate for you. You acknowledge the risks described above and voluntarily choose whether and how to participate. To the extent permitted by law, you assume the inherent risks of your voluntary participation in the practices described above. You agree to follow applicable safety instructions, participate within your limits, and stop if you experience discomfort or distress.
Community and guest content. Members’ posts reflect their own experiences and perspectives and are not a substitute for professional diagnosis or treatment. Participation in educational guest programming does not, by itself, establish a treating relationship with a guest or advisor. A contributor’s professional credentials do not make general community content individualized professional care.
No emergency services. Community spaces, live calls, direct messages, and other support channels are not emergency-response services. Do not rely on them to obtain urgent help. In the United States, call or text 988 for the Suicide & Crisis Lifeline, or call 911 for an emergency. Outside the United States, contact the appropriate local crisis or emergency service.
No guaranteed outcomes. Shift’s coaching and practices are intended to support personal development. References to transformation and changing patterns describe the goals of the Services. Individual experiences and progress vary, and Shift does not guarantee any particular physical, emotional, behavioral, or other outcome. Program durations, including the 21-Day Transformation, describe the course schedule and do not guarantee results within that period.
General warranties. To the extent permitted by law, the Services are provided “as is” and “as available.” Shift does not warrant uninterrupted or error-free availability, that all content will be accurate or current, or that the Services will meet every expectation. Shift disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent permitted by law. These disclaimers do not negate express commitments included in your purchase.
The separate Shift 1:1 Client Agreement remains applicable as provided in Section 4.
12. Limitation of liability
To the fullest extent permitted by law:
Shift Into Alignment, Inc. and its directors, officers, employees, contractors, agents, and affiliated entities (the “Shift Parties”) shall not be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to damages for lost profits, lost data, loss of goodwill, emotional distress, or any other intangible loss, arising out of or related to your use of the Services, regardless of legal theory.
The Shift Parties’ total cumulative liability to you for any claim arising out of or relating to these Terms or your use of the Services shall not exceed the greater of (a) the total amount you paid to Shift in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. If these laws apply to you, some or all of the disclaimers and limitations in these Terms may not apply, and you may have additional rights.
The exclusions and liability cap in this Section do not apply to liability or remedies that cannot lawfully be limited or excluded, including mandatory refund rights. They do not limit liability for fraud, gross negligence, willful misconduct, or negligence-related personal injury to the extent applicable law prohibits that limitation.
13. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless the Shift Parties against third-party claims, damages, liabilities, and reasonable costs, including reasonable attorneys' fees, to the extent caused by your material breach of these Terms, unlawful conduct, or infringement or violation of a third party’s rights.
This obligation does not apply to the extent a claim results from a Shift Party’s negligence, willful misconduct, or breach of its own obligations. This indemnity applies to third-party claims, not disputes between you and Shift.
Shift will promptly notify you of a claim for which it seeks indemnification and reasonably cooperate in its defense. No settlement may impose an admission, payment, or other obligation on you without your written consent.
14. Account security
If you create an account for the Services, you must maintain the confidentiality of your credentials, use reasonable care to prevent unauthorized access, and promptly notify Shift at hello@shiftinto.co if you become aware of unauthorized use.
You are responsible for activity you authorize and for losses caused by your breach of these obligations. You are not responsible under this Section for losses caused by Shift’s own wrongdoing.
15. Privacy
Shift’s Privacy Policy and Consumer Health Data Privacy Notice describe how Shift collects, uses, and discloses personal information. Acceptance of these Terms does not replace any separate consent required by applicable law.
Recordings and transcription. Sessions and events may be recorded or transcribed, including with AI-enabled tools, only after Shift provides advance notice and obtains any consent required by applicable law. The notice will explain the purpose and who will have access to the recording or transcript.
AI tools. If Shift uses AI tools to process recordings, transcripts, messages, or other content you provide, that processing will be limited to purposes described in its privacy notices and subject to applicable notice, consent, and data-protection requirements. These Terms do not authorize Shift or its providers to use your content to train AI models.
16. Modifications to the Site and Terms
Shift may reasonably update or replace content, features, platforms, contributors, and schedules, provided those changes do not materially reduce the benefits promised for an existing purchase. A particular third-party platform or service provider is not guaranteed unless expressly promised as part of your purchase.
Shift will provide advance notice by email or another direct communication of material changes affecting an existing paid Service or these Terms. Changes apply prospectively following notice and any consent required by applicable law. Subscription price changes are also subject to Section 5A.
The Terms you accepted apply to your purchase unless subsequently changed in accordance with this Section. Changes do not alter accrued rights or the pricing, access duration, promotional commitments, or other material benefits promised for an existing purchase without your agreement, except for suspension or termination permitted under Section 17.
Permanent or lifetime access, when expressly included in a purchase, will not be terminated merely because Shift stops accepting new purchasers, changes its hosting platform, or changes the format in which substantially equivalent purchased content is delivered. Access remains subject to these Terms, including lawful suspension or termination under Section 17.
If Shift discontinues a paid Service or materially reduces its promised benefits, Shift remains responsible for its existing purchase commitments and remedies required by applicable law.
Service interruptions. To the extent permitted by law, Shift is not responsible for temporary delays or interruptions caused by events beyond its reasonable control, including internet or third-party platform outages, natural disasters, or government orders. Shift will use commercially reasonable efforts to restore affected Services or reschedule affected programming. This paragraph does not eliminate refunds or other remedies required by applicable law or excuse Shift’s obligations under this Section concerning discontinued Services or undelivered material benefits.
Existing users. For an existing purchase or enrollment, these updated Terms apply when you affirmatively accept them. Until then, the terms previously applicable to that purchase or enrollment continue to govern. Declining these updated Terms does not, by itself, terminate access or other benefits you have already purchased.
17. Termination
Shift may suspend or terminate access for a material violation of these Terms, nonpayment of amounts properly due, unlawful conduct, or a reasonable need to protect the security or safety of the Services or their users. Shift may act immediately when reasonably necessary to prevent harm, protect security, or comply with law.
Shift may also decline enrollment in, or discontinue, Membership or the Program if it reasonably determines that a participant’s requested support or manner of participation falls outside the Services’ educational scope or cannot be safely accommodated within that scope, subject to applicable law. If Shift discontinues participation under this paragraph, it will stop future charges for the affected Services and refund prepaid fees attributable to benefits the participant will no longer receive, including prorated Membership fees for the unused portion of the paid billing period. Any more favorable refund rights in the applicable purchase terms or required by law remain available.
Except as provided above, treatment of prepaid Services and fees following suspension or termination is governed by the applicable purchase terms and law. Discontinuation or material changes initiated by Shift remain subject to Section 16.
Following a lawful termination, you must cease using the affected Services. Provisions that by their nature should survive, including accrued payment obligations, intellectual property restrictions, indemnification, limitations of liability, and dispute resolution, survive to the extent applicable. The duration of the member-content license remains governed by Section 9.
18. Governing law and dispute resolution
Governing law. These Terms are governed by Delaware law, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs the arbitration agreement below. This choice of law does not deprive you of nonwaivable consumer protections applicable to you.
Informal resolution. Before commencing arbitration, the parties will attempt in good faith to resolve the dispute for thirty days after written notice describing it. You may send notice to hello@shiftinto.co. Shift will send notice to the contact information associated with your account or purchase. This process does not prevent a timely filing necessary to preserve a claim, an eligible small-claims action, or a request for urgent court relief.
Arbitration. Except as stated below, disputes arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The rules and fee schedule are available at www.adr.org. Consumer filing fees, Shift’s payment obligations, and arbitrator compensation will be governed by the applicable AAA consumer rules and fee schedule. Any hearing will be held at a location reasonably accessible to you, as determined under those rules, or remotely as permitted by the rules or agreed by the parties. The arbitrator may award relief available under applicable law. Judgment on an award may be entered in a court of competent jurisdiction.
Individual proceedings. To the extent permitted by law, claims will proceed individually and not as a class or representative proceeding. No provision waives a remedy or right that applicable law prohibits the parties from waiving. Public injunctive relief may be sought in a court of competent jurisdiction where the right to seek that relief in court cannot lawfully be waived.
The arbitrator has no authority to conduct class or representative arbitration. If a court determines that the restriction on class or representative proceedings is unenforceable as to a particular claim or request for relief, that claim or request for relief will proceed in a court of competent jurisdiction, and the remaining claims will remain subject to arbitration to the extent permitted by law. Nothing in this paragraph limits the public injunctive relief exception above.
Exceptions. Either party may bring an eligible individual claim in small claims court. Either party may seek temporary court relief necessary to protect intellectual property, prevent unauthorized access, or preserve the status quo pending arbitration. If AAA declines to administer a dispute because Shift has not complied with its consumer requirements, you may pursue the dispute in a court of competent jurisdiction.
Except for these exceptions, the parties understand that arbitration replaces resolution by a judge or jury.
19. Miscellaneous
Entire agreement. These Terms, together with the pricing, billing, access period, included benefits, and other product-specific terms expressly presented to and accepted by you at checkout or enrollment for a particular purchase (the “Offer Terms”), constitute the agreement between you and Shift concerning the Services and supersede any prior version of these Terms. General marketing materials, social media posts, podcasts, FAQs, and other communications do not modify the agreement unless expressly incorporated into the applicable Offer Terms. If Offer Terms conflict with these Terms, the Offer Terms control only as to the specific pricing, billing, access period, or included benefits for that purchase. For Shift 1:1, the separate Shift 1:1 Client Agreement also applies and controls to the extent of any conflict concerning Shift 1:1. The Privacy Policy and Consumer Health Data Privacy Notice describe Shift’s personal-information practices and are not part of this agreement.
Mandatory rights. Nothing in these Terms excludes, restricts, or waives any right or remedy you have, or any obligation Shift owes, that applicable law does not permit the parties to exclude, restrict, or waive.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment. You may not assign these Terms or transfer your account without Shift’s prior written consent. Shift may assign these Terms without your consent, provided the assignee assumes Shift’s obligations under the assigned agreement and the assignment does not reduce your existing rights.
Headings. Section headings are for convenience only and have no legal effect.
Contact. For any questions about these Terms, please contact us at hello@shiftinto.co.
