Welcome to Shift. These Terms & Conditions ("Terms") govern your access to and use of this website (shiftinto.co and any related subdomains, the "Site") and the products and services offered through it, including The Shift Method 1:1 coaching, The Shift program, the Shift Membership, and any other offering made available through Shift, Inc. ("Shift," "we," "us," "our").
By accessing or using the Site, you ("you," "your," "user") agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. Who we are
Shift, Inc. is a Delaware C-Corporation. Annie Ripp and Marissa Vivori are co-founders and Certified Integrative Somatic Practitioners through the Integrative Wellness Academy (IWA)

2. What this Site is, and what it is not
The Site is the online presence of Shift, Inc. Through the Site you can:

The Site is not a substitute for professional advice. The information, content, and services available on the Site are for educational, informational, and personal development purposes only. They are not a substitute for therapy, counseling, psychiatric care, medical care, nutritional advice, financial advice, legal advice, or any other licensed professional service. If you are in a mental health crisis, please call or text 988 (Suicide and Crisis Lifeline) or 911.
3. Eligibility
The Site and our services are intended for users who are at least 18 years of age. By using the Site, you represent that you are at least 18 and have the legal capacity to enter into these Terms.
We do not knowingly collect personal information from individuals under 18. If you believe a minor has provided us with personal information, please contact us at hello@shiftinto.co and we will delete it.
4. The Shift 1:1 coaching relationship
Browsing the Site or booking a free consultation does not create a coaching relationship between you and Shift. The 1:1 coaching relationship begins only when:
You have paid for a Shift 1:1 product or package,
You have signed the separate Shift 1:1 Client Agreement & Release Form, and
Your first session has been scheduled and confirmed.
The Client Agreement governs the actual coaching relationship. The terms of that Agreement take precedence over these Terms for matters specific to the coaching relationship (scope, payment, refunds, cancellations, between-session communication, mental health protocols, and intellectual property of Shift Method materials).
A summary of what coaching is and is not: Shift 1:1 is body-based coaching grounded in nervous system science. It is not therapy, psychotherapy, psychoanalysis, counseling, medical treatment, psychiatric care, addiction treatment, nutritional counseling, or any other licensed clinical service. Annie Davis and Marissa Vivori are not licensed therapists, psychologists, psychiatrists, social workers, medical doctors, or dietitians.
5. Payments and purchases
All payments on the Site are processed through Stripe. By making a purchase, you agree to Stripe's terms of service in addition to these Terms.
Pricing. All prices are in U.S. dollars (USD) and are subject to change. The price displayed at the time of purchase is the price you will be charged.
Promotions and discounts. We may from time to time offer promotional pricing, founding-member pricing, or community discounts. Promotional pricing is valid only during its stated window and may not be combined with other offers unless explicitly stated.
Taxes. Where required by law, applicable sales tax will be added to your purchase.
Refunds. Refund terms for Shift 1:1 products are governed by the Client Agreement & Release Form. In general: The Session ($200 single session) is non-refundable once booked. Packages (Unstuck, Aligned) are non-refundable once the first session has been delivered, and may be refunded minus a 10% administrative fee before the first session. Refunds may take 5-10 business days to process through Stripe.
Failed payments. If a payment fails, services will not be delivered until payment is successfully processed. Repeated failed payments may result in cancellation of the order.
6. Bookings, cancellations, and rescheduling
If you book a free 15-minute consultation, paid session, or any other appointment through the Site:
You agree to provide accurate information when booking.
You agree to attend at the scheduled time, or to reschedule with appropriate notice.
The cancellation policy for paid sessions is set in the Client Agreement: cancellations with at least 24 hours' notice may be rescheduled at no cost; cancellations with less than 24 hours' notice forfeit the session.
We reserve the right to cancel or reschedule any session with reasonable notice. If we cancel, your session will be rescheduled at no cost.
7. Intellectual property
All content on the Site, including but not limited to text, graphics, logos, images, audio recordings (including podcast episodes), video, downloadable files, and the methodology, frameworks, and vocabulary of The Shift Method, is the intellectual property of Shift, Inc. or its licensors.
Proprietary terms owned by Shift, Inc. include: The Shift Method, Awareness/Gap/Shift, The Stuck, The Loop, The Want, The Walk, The Edit, The Move, The Pull, The Witness, the protective response taxonomy as published by Shift, the science framework as published by Shift, and any associated worksheets, practices, and recorded content.
You are granted a limited, non-exclusive, non-transferable license to access and use the Site and its content for your personal, non-commercial use. You may not:
Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our content, except as expressly permitted in writing
Use any of our content to develop, train, or improve any artificial intelligence, machine learning, or large language model
Use Site content to compete with Shift, including by creating a competing coaching, membership, or wellness business that uses our proprietary frameworks or vocabulary
Use the Shift name, logo, or trademarks without our prior written permission
Scrape, harvest, or otherwise extract data from the Site through automated means
If you purchase coaching services or program content, your license is governed by the Client Agreement or the program-specific terms applicable to that purchase.
8. Testimonials and case studies
The Site may include testimonials, reviews, or case studies from Shift 1:1 clients, program participants, podcast listeners, or community members. These are individual experiences and reflect the real results of those individuals. They are not a guarantee of any particular outcome for any other user.
Results from coaching, programs, or any Shift offering vary by individual and depend on many factors including but not limited to your personal history, your level of engagement, your existing mental and physical health, and your life circumstances. We do not guarantee any specific outcome.
All testimonials shown on the Site are used with the participant's consent. Where testimonials are anonymized, identifying details have been removed at the participant's request or for the participant's protection.
9. User-generated content and conduct
If you submit content to the Site or to any Shift platform (including but not limited to comments, community posts in the Shift Membership, Substack comments, Instagram interactions, podcast reviews, or testimonials), you grant Shift, Inc. a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, display, modify, and distribute that content in connection with Shift's services and marketing, with attribution where appropriate.
You agree not to:
Post content that is unlawful, harassing, defamatory, abusive, threatening, obscene, or otherwise objectionable
Impersonate any person or entity
Share another person's private information without consent
Solicit other users for commercial purposes
Disrupt the experience of other users
Attempt to gain unauthorized access to the Site, its systems, or other users' accounts
We reserve the right to remove any user-generated content and to terminate access to the Site for any user who violates these Terms.
10. Third-party links and services
The Site may contain links to or integrations with third-party websites and services, including but not limited to
Stripe (payment processing)
Calendly (scheduling)
HelloSign or PandaDoc (e-signatures)
Zoom (video sessions)
Substack (newsletter and essays)
Spotify, Apple Podcasts, and other podcast platforms
Instagram, TikTok, LinkedIn (social media)
Google Workspace (forms, email, calendar)
We do not control these third-party services and are not responsible for their content, terms, privacy practices, or availability. Your use of any third-party service is governed by that service's own terms and privacy policy. We encourage you to review them.
11. Disclaimers
To the fullest extent permitted by law, the Site and all content, products, and services available through the Site are provided "as is" and "as available," without warranty of any kind, express or implied.
We make no warranty that:
The Site will be uninterrupted, error-free, or available at any particular time
The content on the Site is accurate, complete, or current
Any product, service, or information will meet your expectations or produce any specific outcome
The Site is free from viruses or other harmful components
We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Specifically with respect to the wellness and coaching content on this Site: Information provided is for general educational purposes only and is not intended to diagnose, treat, cure, or prevent any disease, mental health condition, or physical condition. Statements about the body, nervous system, somatic practice, and related topics reflect the current published research and our training as Certified Integrative Somatic Practitioners. They are not medical advice. Always consult a qualified healthcare provider before making decisions about your health, mental health, medication, or treatment.
12. Limitation of liability
To the fullest extent permitted by law:
Shift, Inc. and its directors, officers, employees, contractors, agents, and affiliated entities (the "Shift Parties") shall not be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to damages for lost profits, lost data, loss of goodwill, emotional distress, or any other intangible loss, arising out of or related to your use of the Site, regardless of legal theory.
The Shift Parties' total cumulative liability to you for any claim arising out of or relating to these Terms or your use of the Site shall not exceed the greater of (a) the total amount you paid to Shift in the three (3) months preceding the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. If these laws apply to you, some or all of the disclaimers and limitations in these Terms may not apply, and you may have additional rights.
Nothing in these Terms limits or excludes liability that cannot legally be limited or excluded.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Shift Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Your use of or access to the Site
Your violation of these Terms
Your violation of any third-party right, including but not limited to intellectual property, privacy, or publicity rights
Any content you submit to the Site or to Shift
14. Account security
If the Site requires or offers an account (for example, the Shift Membership platform once live), you are responsible for:
Maintaining the confidentiality of your account credentials
All activity that occurs under your account
Notifying us immediately at hello@shiftinto.co of any unauthorized access or use
We are not liable for any loss or damage arising from your failure to maintain account security.
15. Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and share information about you. By using the Site, you consent to the data practices described in the Privacy Policy.
16. Modifications to the Site and Terms
We reserve the right to:
Modify, suspend, or discontinue any part of the Site at any time, with or without notice
Update these Terms from time to time at our sole discretion
If we make material changes to these Terms, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, by email or a notice on the Site. Your continued use of the Site after changes become effective constitutes your acceptance of the updated Terms.
17. Termination
We reserve the right to suspend or terminate your access to the Site at any time, with or without notice, for any reason, including but not limited to violation of these Terms.
Upon termination, your right to use the Site immediately ceases. Provisions of these Terms that by their nature should survive termination (including intellectual property, indemnification, limitation of liability, and dispute resolution) shall survive.
18. Governing law and dispute resolution
These Terms and any dispute arising out of or related to them shall be governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
Informal resolution. Before filing any formal claim, you agree to first contact us at hello@shiftinto.co to attempt to resolve the dispute informally. We will respond within thirty (30) days and work in good faith to resolve the matter.
Binding arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, and the arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Shift.
Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive or other equitable relief in court for matters relating to intellectual property infringement, unauthorized access, or misuse of the Site.
19. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy, the Disclaimer, and (for paying clients) the Shift 1:1 Client Agreement & Release Form, constitute the entire agreement between you and Shift, Inc. with respect to the Site and your use of it.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment. You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign these Terms at any time without notice.
Headings. Section headings are for convenience only and have no legal effect.
